1. Agreement Overview

• These Terms and Conditions (“Agreement”) govern the advertising services provided by Unions News to the Advertiser for a one-year term. By submitting a request to advertise, the Advertiser agrees to the terms outlined here.

2. Advertising Services

• Unions News agrees to display the Advertiser’s profile on its platform, targeting union employees as specified by the Advertiser’s package. Ads will be displayed in agreed locations within the directory, subject to availability and platform layout.

3. Term and Renewal

• This Agreement is effective for one year from the date of ad placement (“Term”).

• At the end of the Term, the Agreement may renew for an additional year with the Advertiser’s consent and payment of the applicable fees.

4. Advertising Content Requirements

• The Advertiser must provide all advertising content, including images, text, and links, by the deadlines provided by Unions News.

• All content must comply with applicable laws and be suitable for union audiences.

• Unions News reserves the right to refuse, edit, or remove any content that it deems inappropriate, offensive, or inconsistent with the mission of serving union employees.

5. Payment and Fees

• Payment for the one-year advertising Term is due in full upon signing this Agreement, unless otherwise agreed in writing.

• Non-payment may result in suspension or removal of the Advertiser’s content from the directory.

• Fees are non-refundable, except as provided under Section 10 (Termination).

6. Advertiser Representations and Warranties

• The Advertiser warrants that all content provided is accurate, lawful, and does not infringe on the rights of any third party.

• The Advertiser is solely responsible for any claims or liabilities arising from the ad content or services advertised.

7. Directory’s Rights and Responsibilities

• Unions News will use reasonable efforts to ensure the directory remains online and accessible to users during the Term.

• However, Unions News does not guarantee uninterrupted service and is not responsible for downtime, maintenance, or technical issues.

8. Prohibited Content

• Advertisements promoting illegal goods or services, or content that could be deemed misleading, defamatory, discriminatory, or offensive, are strictly prohibited.

• Any prohibited content may be removed without prior notice, and no refunds will be issued.

9. Data and Privacy Compliance

• The Advertiser agrees to comply with all applicable data protection and privacy laws.

• Unions News will not share personal information about directory users with the Advertiser unless required by law or with the user’s explicit consent.

10. Termination

• Either party may terminate this Agreement upon written notice if the other party breaches any material term of this Agreement and fails to remedy the breach within 15 days of notice.

• If Unions News terminates this Agreement for reasons other than a breach by the Advertiser, the Advertiser will receive a prorated refund for the remaining Term.

11. Limitation of Liability

• Unions News shall not be liable for any indirect, incidental, or consequential damages arising from the Advertiser’s use of the directory platform, including but not limited to loss of revenue or reputation.

12. Governing Law and Dispute Resolution

• This Agreement will be governed by the laws of Ohio.

• Any disputes arising out of or related to this Agreement will be resolved through arbitration, with each party bearing its own legal costs.

13. Entire Agreement and Amendments

• This Agreement constitutes the entire understanding between the parties. Any amendments must be in writing and signed by both parties.

14. Refund and Dispute Policy

14.1 Refund Policy

• Non-Refundable Fees: Fees paid for advertising are generally non-refundable, as the directory reserves space and resources upon booking. Advertisers are responsible for reviewing all ad materials and placement specifications prior to the start date of the ad campaign.

• Exceptions for Refunds:

• Refunds may be considered at the directory’s sole discretion in cases of prolonged, unplanned downtime affecting ad visibility for more than 96 hours consecutively.

• If Unions News terminates this Agreement without cause (i.e., for reasons other than a breach by the Advertiser), the Advertiser is eligible for a prorated refund based on the unused portion of the advertising Term.

• Refund requests must be submitted in writing to info@unionsnews.com within 30 days of the issue or termination that prompted the request.

14.2 Dispute Resolution

• Dispute Notice: If the Advertiser believes there is an issue or dispute regarding the advertising services, they must first provide written notice to Unions News, outlining the nature of the dispute and any supporting documentation.

• Resolution Period: Unions News will review and respond to the dispute within 15 business days of receiving notice. During this time, both parties agree to make reasonable efforts to resolve the dispute in good faith.

• Escalation to Arbitration: If the dispute is not resolved through the initial resolution process, either party may initiate binding arbitration under the rules of the American Arbitration Association (AAA) in the state of Ohio, with each party bearing its own costs.

• Exclusions: This Dispute Policy does not cover complaints about ad performance or subjective ad impressions unless there is a clear indication of a technical failure on the part of Unions News.

15. Ad Performance Disclaimer

15.1 No Guarantee of Results

• Unions News does not guarantee any specific results, such as a certain number of views, clicks, leads, or conversions, from the advertisement placed in the directory. Ad performance can vary based on numerous factors, including audience interest, ad relevance, and seasonal trends.

15.2 Performance Reporting

• Unions News may provide advertisers with general metrics related to ad views and engagement, if available, but these are for informational purposes only and do not constitute a guaranteed outcome.

15.3 Limited Liability for Performance

• The Advertiser agrees that Unions News will not be liable for perceived underperformance of the ad, including any claims for refunds based on subjective dissatisfaction with ad results. Refunds will only be issued in cases outlined in Section 14 (Refund and Dispute Policy).

15.4 Ad Placement and Visibility

• Unions News will make reasonable efforts to display the ad in prominent, visible locations within the directory as specified in the advertising agreement. However, exact placement and visibility are subject to platform design and updates, and Unions News cannot guarantee any specific positioning or exclusive display time.

16. Customer Responsibility for Payment Information

16.1 Accurate Payment Information

• The Advertiser is responsible for providing accurate, complete, and up-to-date payment information when purchasing advertising services. Unions News is not liable for issues arising from incorrect or outdated payment information entered by the Advertiser.

16.2 Authorization of Charges

• By submitting payment information, the Advertiser authorizes Unions News to charge the provided payment method for the agreed-upon fees. The Advertiser affirms that they are authorized to use the payment method provided and that the transaction is legitimate.

16.3 Failed Payments

• In cases of failed or declined payments, the Advertiser will be notified and given the opportunity to provide updated payment information. Failure to resolve a payment issue within 5 business days may result in the suspension of advertising services.

16.4 Disputes and Unauthorized Charges

• If the Advertiser disputes a charge or claims it was unauthorized, Unions News will provide relevant documentation showing the terms of this Agreement and the authorization of charges at the time of purchase. Unauthorized charge claims related to customer input errors are the sole responsibility of the Advertiser
